Confidential information refers to data and information with respect to relevant bus
inesses and technologies, whether in written or other forms, that have been disclosed
by either Party A or Party B to the other party with clear label or designation of "confi
dential information"(hereinafter referred to as "confidential information"), excluding t
he following data and information:

confidential information that has come to the attention of the receiving party before th
e disclosure of the other party;

3. Non-
confidential information offered by either party, before the disclosure of which the rec
eiving party is not informed of the fact that the provider of this information (a third pa
rty) has signed a binding confidentiality agreement with the party disclosing the non-
confidential information under this agreement, and the receiving party may reasonabl
y presume that the information discloser is not forbidden to offer the information to th
e receiving party.
第二� �方责任
Article Two Obligations and Liabilities
(一)甲乙å�Œæ–¹äº’为ä¿�密资料的æ��供方和接å�—æ–
¹ï¼Œè´Ÿæœ‰ä¿�密义务,承担ä¿�密责任。
(1) Both Party A and Party B represent to the other party as the provider and receiv
er of confidential information, and thus both undertake confidentiality obligations and
liabilities.
(二)甲乙å�Œæ–¹ä¸ä»»ä½•一方未ç»�对æ–
¹ä¹¦é�¢å�Œæ„�ä¸�å¾—å�‘第三方(包括新é—
»ç•Œäººå£«ï¼‰å…¬å¼€å’ŒæŠ«éœ²ä»»ä½•ä¿�密资料或以其他æ–
¹å¼�使用ä¿�密资料。å�Œæ–
¹ä¹Ÿé¡»ä¿ƒä½¿å�„自代表ä¸�å�‘第三方(包括新é—
»ç•Œäººå£«ï¼‰å…¬å¼€æˆ–披露任何ä¿�密资料或以其它æ–
¹å¼�使用ä¿�密资料。除é�žæŠ«éœ²ã€�公开或
利用�密资料是�方从事或
开展�作项目工作在通常情况下应承担的义务(包
括�方今��法律或
��应承担的义务)适当所需的。
(2) Neither Party A nor Party B shall disclose or make public any confidential infor
mation to a third party (including the press) or otherwise make use of the confidential
information without the written approval of the other party; Both parties are obliged t
o urge their representatives not to disclose or make public any confidential informatio
n to a third party (including the press) or otherwise make use of the confidential infor
mation; unless the disclosure, publicity and application of the confidential information
is required by the due performance of the obligations of the two parties in association
with the undertaking and proceeding of the cooperative programs under normal circu
mstances (including obligations to be assumed by both parties in the future pursuant t
o the law and the contracts signed by the two parties).

™çš„æŽ¥è§¦èŒƒå›´ä¸¥æ ¼é™�åˆ¶åœ¨å› æœ¬å��议规定目的而需接è
§¦ä¿�密资料的å�„自负责任的代表的范围内;
(3) Both parties shall strictly limit the access to the confidential information to their
responsible representatives only for the purposes specified hereunder.
(四)除�过�方书���而必�进行披露外
,任何一方�得将�有对方或
其代表披露的ä¿�密资料å¤�å�°æˆ–å¤�制或者有æ„�æ—
�地�供给他人;
(4) Neither party shall provide a third party with copies or duplicates of the confide

ntial information disclosed by the other party or its representative, whether intentional
ly or not, unless the disclosure is allowed by a written agreement signed by the two pa
rties.
