Article1
ApplicationofURC522第一款：《托收统一规则》第 522号的应用。
,1995Revision,,shallapplytoallcollectionsasdefinedinArticle2wheresuchrulesareincorporatedintothetextofthe“collectioninstruction”
referredtoinArticle4andarebindingonallpartiestheretounlessotherwiseexpresslyagreedorcontrarytotheprovisionsofanational,stateorlocallawand/orregulationwhichcannotbedepartedfrom.
国际商会第 522号出版物《托收统一规则》1995年修订本将适用于第二款所限定的、并在第四款托收指示中列明适用该项规则的所有托收项目。除非另有明确的约定，或与某一国家、某一政府，或与当地法律和尚在生效的条例有所抵触，本规则对所有的关系
人均具有约束力。

银行没有义务必须办理某一托收或任何托收指示或以后的相关指示。
,foranyreason,nottohandleacollectionoranyrelatedinstructionsreceivedbyit,itmustadvisethepartyfromwhomitreceivedthecollectionortheinstructionsbytelemunicationor,ifthatisnotpossible,byotherexpeditiousmeans,without
delay.
如果银行无论出于何种理由选择了不办理它所收到的托收或任何相关的托收指示，它必须毫不延误地采用电讯，或者如果电讯不可能时采用其它快捷的工具向他收到该项指示的当事人发出通知。
Article2
DefinitionofCollection第二款托收的定义
ForthepurposesoftheseArticles:就本条款而言：
a.“Collection”meansthehandlingbybanksofdocumentsasdefinedinsub-Article2(b),inaccordancereceived,inorderto:托收是指银行依据所收到的指示处理下述（2）款所限定的单据，以便于：
.按照其他条款和条件交单。
b.“Documents”meansfinancialdocumentsand/ormercialdocuments:单据是指金融单据和/或商业单据。
I.“Financialdocuments”meansbillsofexchange,promissorynotes,cheques,orothersimilarinstrumentsusedforobtainingthepaymentofmoney;
金融单据是指汇票、本票、支票或其他类似的可用于取得款项支付的凭证；
II.“Commercialdocuments”meansinvoice,transportdocuments,documentsoftitleorothersimilardocuments,oranyotherdocumentswhatsoever,notbeingfinancialdocuments.
商业单据是指发票、运输单据、所有权文件或其他类似的文件，或者不属于金融单据的任何其他单据。
c.“Cleancollection”meanscollectionoffinancialdocumentsnotacpaniedbymercialdocuments.
d.“Documentarycollection”meanscollectionof:
光票托收是指不附有商业单据的金融单据项下的托收。

不附有金融单据的商业单据项下的托收。
Article3第三款托收的关系人
“partiesthereto”are:就本条款而言，托收的关系人有：
“principal”whoisthepartyentrustingthehandlingofacollectiontoabank;
委托人即委托银行办理托收的有关人；
“remittingbank”whichisthebanktowhichtheprincipalhasentrustedthehandlingofacollection;
寄单行即委托人委托办理托收的银行；
III.“collectingbank”whichisanybank,otherthantheremittingbank,involvedinprocessingthecollection;
代收行即除寄单行以外的任何参与处理托收业务的任何银行；
“presentingbank”whichisthecollectingbankmakingpresentationtothedrawee.
“drawee”istheonetowhompresentationistobemadeinaccordancewiththecollectioninstruction.付款人即根据托收指示向其提示单据的人。
B．FormandStructureofCollections托收的形式和结构
Article4
CollectionInstruction第四款托收指示
on,andinaccordancewiththeseRules.
所有送往托收的单据必须附有一项托收指示，注明该项托收将遵循《托收统一规则》第 522号文件并且列出完整和明确的指示。银行只准允根据该托收指示中的命令和本规则行事；

银行将不会为了取得指示而审核单据；
,bankswilldisregardanyinstructionsfromanyparty/bankotherthantheparty/bankfromwhomtheyreceivedthecollections.
除非托收指示中另有授权，银行将不理会来自除了他所收到托收的有关人/银行以外的任何有关人/银行的任何指令。
BAcollectioninstructionshouldcontainthefollowingitemsofinformation,asappropriate.
托收指示应当包括下述适宜的各项内容：
,postalandSWIFTaddresses,telex,telephone,facsimilenumbersandreference.
收到该项托收的银行详情，包括全称、邮政和 SWIFT地址、电传、电话和传真号码和编号；
,postaladdress,andifapplicabletelex,telephoneandfacsimilenumbers.
委托人的详情包括全称、邮政地址或者办理提示的场所以及，如果有的话，电传、电话和传真号码；
,postaladdress,orthedomicileatwhichpresentationistobemadeandifapplicabletelex,telephoneandfacsimilenumbers.
付款人的详情包括全称、邮政地址或者办理提示的场所以及，如果有的话，电传、电话和传真号码；
,ifany,includingfullname,postaladdress,andifapplicabletelex,telephoneandfacsimilenumbers.
提示银行（如有的话）的详情，包括全称、邮政地址以及，如果有的话，电传和传真号码；

待托收的金额和货币；

凭以取得付款和/或承兑和条件和条款；

Itistheresponsibilityofthepartypreparingthecollectioninstructiontoensurethatthetermsforthedeliveryofdocumentsareclearlyandunambiguouslystated,otherwisebankswillnotberesponsibleforanyconsequencesarisingtherefrom.
缮制托收指示的有关方应有责任清楚无误地说明，确保单据交付的条件，否则的话，银行对此所产生的任何后果将不承担责任；
,indicatingwhethertheymaybewaivedornot.
待收取的手续费指明是否可以放弃；
,ifapplicable,indicatingwhetheritmaybewaivedornot,including:
a)rateofinterest
b)interestperiod
c)basisofcalculation(forexample360or365daysinyear)asapplicable.
待收取的利息，如有的话，指明是否可以放弃，包括利率、计息期、适用的计算期基数（如一年按 360天还是 365天）；
.付款方法和付款通知的形式；
-payment,non-acceptanceand/ornon-pliancewithotherinstructions.发生不付款、不承兑和/或与其他批示不相符时的指示。

托收指示应载明付款人或将要办理提示场所的完整地址。如果地址不全或有错误，代收银行可尽力去查明恰当的地址，但其本身并无义务和责任。

代收银行对因所提供地址不全或有误所造成的任何延误将不承担责任或对其负责。
提示的形式
Article5
Presentation第五款提示
,presentationistheprocedurewherebythepresentingbankmakesthedocumentsavailabletothedraweeasinstructed.
就本条款而言，提示是表示银行按照指示使单据对付款人发生有效用的程序。

托收指示应列明付款人将要采取行动的确切期限。
Expressionssuchas“first”,“prompt”,
“immediate”,.
诸如首先、迅速、立即和类似的表述不应用于提示、或付款人赎单采取任何其他行动的任何期限。如果采用了该类术语，银行将不予理会。
,exceptthatbanksareauthorizedtoaffixanynecessarystamps,attheexpenseofthepartyfromwhomtheyreceivedthecollectionunlessotherwiseinstructed,andtomakeanynecessary
endorsementsorplaceanyrubberstampsorotheridentifyingmarksorsymbolscustomarytoorrequiredforthecollectionoperation.
单据必须以银行收到时的形态向付款人提示，除非被授权贴附任何必需的印花、除非另有指示费用由向其发出托收的有关方支付以及被授权采取任何必要的背书或加盖橡皮戳记，或其他托收业务惯用的和必要的辨认记号或符号。

Article6
Sight/Acceptance第六款即期/承兑
Inthecaseofdocumentspayableatsightthepresentingbankmustmakepresentationforpaymentwithoutdelay.
Inthecaseofdocumentspayableatatenorotherthansightthepresentingbankmust,whereacceptanceiscalledfor,makepresentationforacceptancewithoutdelay,andwherepaymentiscalledfor,makepresentationforpaymentnotlaterthantheappropriatematurit
ydate.
如果是见单即付的单据，提示行必须立即办理提示付款不得延误；如果不是即期而是远期付款单据，提示行必须在不晚于应到期日，如是要承兑立即办理提示承兑、如是付款时立即办理提示付款。
Article7
ReleaseofCommercialDocuments第七款商业单据的交单（承兑交单 D/A和付款交单 D/P）
DocumentsAgainstAcceptance(D/A)(D/P)

附有商业单据必须在付款时交出的托收指示，不应包含远期付款的汇票。
,thecollectioninstructionshouldstatewhetherthemercialdocumentsaretobereleasedtothedraweeagainstacceptance(D/A)oragainstpayment(D/P).
Intheabsenceofsuchstatementmercialdocumentswillbereleasedonlyagainstpaymentandthecollectingbankwillnotberesponsibleforanyconsequencesarisingoutofanydelayinthedeliveryofdocuments.
如果托收包含有远期付款的汇票，托收指示应列明商业单据是凭承兑不是凭付款交给付款人。如果未有说明，商业单据只能是付款交单，而代收行对由于交付单据的任何延误所产生的任何后果将不承担责任。

如果托收包含有远期付款的汇票而且托收指示列明应凭付款交出商业单据时，则单据只能凭该项付款才能交付，而代收行对由于交单的任何延误所产生的任何结果将不承担责任。
Article8
CreationofDocuments代制单据
Wheretheremittingbankinstructsthateitherthecollectingbankorthedraweeistocreatedocuments(billsofexchangepromissorynotes,trustreceipts,lettersofundertakingorotherdocuments)thatwerenotincludedinthecollection,theformandwordingofsu
chdocumentsshallbeprovidedbytheremittingbank,otherwisethecollectingbankshallnotbeliableorresponsiblefortheformandwordingofanysuchdocumentprovidedbythecollectingbankand/orthedrawee.
在寄单行指示或者是代收行或者是付款人应代制托收中未曾包括的单据（汇票、本票、信托收据、保证书或其他单据）时，这些单据的格式和词句应由寄单行提供，否则的话，代收行对由代收行和/或付款人所提供任何该种单据的格式和词句将不承担责任或对
其负责。

Article9GoodfaithandReasonableCare
Bankswillactingoodfaithandexercisereasonablecare.
第九款善意和合理的谨慎
银行将以善意和合理的谨慎办理业务。
Article10
单据与货物/服务/行为

Nevertheless,intheeventthatgoodsaredispatcheddirectlytotheaddressofabankorconsignedtoortotheorderofabankforreleasetoadraweeagainstpaymentoracceptanceoruponothertermsandconditionswithoutprioragreementonthepartofthatbank,suchban
kshallhavenoobligationtotakedeliveryofthegoods,whichremainattheriskandresponsibilityofthepartydispatchingthegoods.
未经银行事先同意，货物不得以银行的地址直接发送给该银行、或者以该行作为收货人或者以该行为抬头人。然而，如果未经银行事先同意而将货物以银行的地址直接发送给了该银行，或以该行做了收货人或抬头人，并请该行凭付款或承兑或凭其他条款将货
物交付给付款人，该行将没有提取货物的义务，其风险和责任仍由发货方承担。

attheyagreetodosoineachcase,notwithstandingtheprovisionsofsub-article1(c),thisruleappliesevenintheabsenceofanyspecificadvicetothiseffectbythecollectingbank.
银行对与跟单托收有关的货物即使接到特别批指示也没有义务采取任何行动包括对货物的仓储和保险，银行只有在个案中如果同意这样做时才会采取该类行动。撇开前述第一款（3）的规定，即使对此没有任何特别的通知，代收银行也适用本条款。
,inthecasethatbankstakeactionfortheprotectionofthegoods,whetherinstructedornot,theyassumenoliabilityorresponsibilitywithregardtothefateand/orconditionofthegoodsand/orforanyactsand/oromissionsonthepartofanythirdpa
rtiesentrustedwiththecustodyand/,thecollectingbankmustadvisewithoutdelaythebankfromwhichthecollectioninstructionwasreceivedofanysuchactiontaken.

a.撇开第十款 1、条的规定，如果货物是以代收行作为收货人或抬头人，而且付款人已对该项托收办理了付款、承兑或承诺了其他条件和条款，代收行因此对货物的交付作了安排时，应认为寄单行已授权代收行如此办理。

若代收行按照寄单行的指示按上述第十款（1）条的规定安排交付货物，寄单行应对该代收行所发行的全部损失和化销给予赔偿
Article11
DisclaimerForActsofanInstructedParty对被指示的免责
,dosofortheaccountandattheriskofsuchprincipal.
为使委托人的指示得以实现，银行使用另一银行或其他银行的服务是代该委托人办理的，因此，其风险由委托人承担；
,eveniftheyhavethemselvestakentheinitiativeinthechoiceofsuchotherbank(s).
即使银行主动地选择了其他银行办理业务，如该行所转递的指示未被执行，该行不承担责任或对其负责；
.
一方指示另一方去履行服务，指示方应受到被指示方的法律和惯例所加于的一切义务和责任的制约，并承担赔偿的责任。
Article12
DisclaimeronDocumentsReceived对收到单据的免责
instructionandmustadvisebytelemunicationor,ifthatisnotpossible,byotherexpeditiousmeans,withoutdelay,thepartyfromwhomthecollectioninstructionwasreceivedofanydocumentsmissing,orfoundtbeotherthanlisted.
Bankshavenofurtherobligationinthisrespect.
银行必须确定它所收到的单据应与托收批示中所列表面相符，如果发现任何单据有短缺或非托收指示所列，银行必须以电讯方式，如电讯不可能时，以其他快捷的方式通知从其收到指示的一方，不得延误；
银行对此没有更多的责任。
,theremittingbankshallbeprecludedfromdisputingthetypeandnumberofdocumentsreceivedbythecollectingbank.
（2）如果单据与所列表面不相符，寄单行对代收行收到的单据种类和数量应不得有争议；
-article5(c)andsub-article12(a)and12(b)above,bankswillpresentdocumentsasreceivedwithoutfurtherexamination.
（3）根据第五款（3）和第十二款式、以及上述（2），银行将按所收到的单据办理提示而无需做更多的审核。
Article13
DisclaimeronEffectivenessofDocuments对单据有效性的免责
Banksassumenoliabilityorresponsibilityoftheform,sufficiency,accuracy,genuineness,falsificationorlegaleffectofanydocument(s)orsuperimposedthereon;nordotheyassumeanyliability,condition,packing,delivery,valueofexistenceofthegoods
representedbyanydocument(s),orforthegoodfaithoractsand/oromission,solvency,performanceorstandingoftheconsignors,thecarriers,theforwarders,theconsigneesortheinsurersofthegoods,oranyotherpersonwhomsoever.
银行对任何单据的格式、完整性、准确性、真实性、虚假性或其法律效力、或对在单据中载明或在其上附加的一般性和/或特殊性的条款不承担责任或对其负责；银行也不对任何单据所表示的货物的描述、数量、重量、质量、状况、包装、交货、价值或存在、
或对货物的发运人、承运人、运输行、收货人和保险人或其他任何人的诚信或行为和/或疏忽、清偿力、业绩或信誉承担责任或对其负责。
Article14
DisclaimeronDelays,LossinTransitandTranslation对单据在传送中的延误和损坏以及对翻译的免责
anslationand/orinterpretationoftechnicalterms.
银行对任何信息、信件或单据在传送中所发生的延误和/或损坏、或对任何电讯在传递中所发生的延误、残损或其他错误、或对技术条款的翻译和/或解释的错误不承担责任或对其负责；
.
银行对由于收到的任何指示需要澄清而引起的延误将不承担责任或对其负责。
Article15
ForceMajeure
BanksassumenoliabilityorresponsibilityforconsequencearisingoutoftheinterruptionoftheirbusinessbyActsofGod,riots,civilmotions,insurrections,wars,oranyothercausesbeyondtheircontrolorbystrikesorlockouts.
银行对由于天灾、暴动、骚乱、战争或银行本身不能控制的任何其他原因、任何罢工或停工而使银行营业中断所产生的后果不承担责任或对其负责。
Article16
PaymentWithoutDelay立即汇付
(lesschargesand/ordisbursementsand/orexpenseswhereapplicable)mustbemadeavailablewithoutdelaytothepartyfromwhomthecollectioninstructionwasreceivedinaccordancewiththetermsandconditionsofthecollectioninstruction
.
收妥的款项（扣除手续费和/或支出和/或可能的化销）必须按照托收指示中规定的条件和条款不延误地付给从其收到托收指示的一方，不得延误；
-article1(c)andunlessotherwiseagreed,thecollectingbankwilleffectpaymentoftheamountscollectedinfavouroftheremittingbankonly.
撇开第一款 3、的规定和除非另有指示，代收行仅向寄单行汇付收妥的款项。
Article17
PaymentinLocalCurrency以当地货币支付
Inthecaseofdocumentspayableinthecurrencyofthecountryofpayment(localcurrency),thepresentingbankmust,unlessotherwiseinstructedinthecollectioninstruction,releasethedocumentstothedraweeagainstpaymentinlocalcurrencyonlyifsuchcurren
cyisimmediatelyavailablefordisposalinthemannerspecifiedinthecollectioninstruction.
如果单据是以付款地国家的货币（当地货币）付款，除托收指示另有规定外，提示行必须凭当地货币的付款，交单给付款人，只要该种货币按托收指示规定的方式能够随时处理。
Article18
PaymentinForeignCurrency用外汇付款
Inthecaseofdocumentspayableinacurrencyotherthanofthecountryofpayment(foreigncurrency),thepresentingbankmust,unlessotherwiseinstructedinthecollectioninstruction,releasethedocumentstothedraweeagainstpaymentinthedesignedforeigncu
rrencyonlyifsuchforeigncurrencycanimmediatelyremittedinaccordancewiththeinstructionsgiveninthecollectioninstruction.
如果单据是以付款地国家以外的货币（外汇）付款，除托收指示中另用规定外，提示行必须凭指定的外汇的付款，交单给付款人，只要该外汇是按托收指示规定能够立即汇出。
Article19
PartialPayments分期付款
,(s)willbereleasedtothedraweeonlywhenf
ullpaymentthereofhasbeenreceived.
在光票托收中可以接受分期付款，前提是分批的金额和条件是付款当地的现行法律所允许。只有在全部货款已收妥的情况下，才能将金融单据交付给付款人。
,,unlessotherwiseinstructed,thepresentingbankwillreleasethedocumentstothedraweeonlyafterfullpaymentha
sbeenreceived,andthepresentingbankwillnotberesponsibleforanyconsequencearisingoutofanydelayinthedeliveryofdocuments.
在跟单托收中，只有在托收指示有特别授权的情况下，才能接受分期付款。然而，除非另有指示，提示行只能在全部货款已收妥后才能将单据交付给付款人。
,ifaccepted,willbedealtwithinaccordancewiththeprovisionsofArticle16.
在任何情况下，分期付款只有在符合第十七款或第十八款中的相应规定时将会被接受。
如果接受分期付款将按照第十六款的规定办理。
,ChargesandExpenses利息、手续费和费用
Article20
Interest
,thepresentingbankmaydeliverthedocument(s)againstpaymentofacceptanceoronothertermsandconditionsasthecasemaybe,withoutcollectin
gsuchinterest,unlesssub-article20(c)applies.
如果托收指示中规定必须收取利息，但付款人拒付该项利息时，提示行可根据具体情况在不收取利息的情况下凭付款或承兑或其他条款和条件交单，除非适用第廿款 3条。
,thecollectioninstructionmustspecifytherateofinterest,interestperiodandbasisofcalculation.
如果要求收取利息，托收指示中应明确规定利率、计息期和计息方法。

如托收指示中明确地指明利息不得放弃而付款人以拒付该利息，提示行将不交单，并对由此所引起的延迟交单所产生的后果将不承担责任。当利息已被拒付时，提示行必须以电讯，当不可能时可用其他便捷的方式通知曾向其发出托收指示的银行，不得延误。
Article21
ChargesandExpenses手续费和费用
ecasemaybe,withoutcollectingchargesand/orexpenses,unlesssub-article21(b)applies.
Whenevercollectionchargesand/orexpensesaresowaivedtheywillbefortheaccountofthepartyfromwhomthecollectionwasreceivedandmaybedeductedfromtheproceeds.
如果托收指示中规定必须收取手续费和（或）费用须由付款人承担，而后者拒付时，提示行可以根据具体情况在不收取手续费和 A（或）费用的情况下凭付款或承兑或其他条款和条件交单，除非适用第廿一款（2）条。
每当托收手续费和（或）费用被这样放弃时，该项费用应由发出托收的一方承担，并可从货款中扣减。

的银行，不得延误。

bursements,expensesandchargesfromthebankformwhichthecollectioninstructionwasreceived,andtheremittingbankshallbeentitledtorecoverpromptlyfromtheprincipalanyamountsopaidoutbyit,togetherwithitsowndisbursements,expensesandcharges,

Intheabsenceofsuchspecificinstructions,thebanksconcernedwiththecollectionhavenoobligationtohavethedocument(s)protested(orsubjectedtootherlegalprocessinlieuthereof)fornon-paymentornon-acceptance.
Anychargesand/orexpensesincurredbybanksinconnectionwithsuchprotest,orotherlegalprocess,willbefortheaccountofthepartyfromwhomthecollectioninstructionwasreceived.

Case-of-Need预备人

代收行对向其发出托收指示的银行给予所有通知和信息必须要有相应的详情，在任何情况下都应包括后者在托收指示中列明的银行业务编号。
